DiLan Initiatives Terms
Effective date: September 14, 2024
Note: The Terms, Policy, or Agreement are available in Indonesian and English. In case of any discrepancies between the translations, the Indonesian version shall prevail.
The DiLan Initiatives Terms ("Terms") govern your participation in the DiLan Initiatives Program ("Program") and constitute an agreement between the relevant DiLan Party ("DiLan," "we," "us," or "ours") as defined in the Organizational Use Agreement and Personal Use Agreement, or any other agreement with us governing your use of the Services ("Agreement") and you or the entity you represent ("you"). Your participation in the Program is governed by these Terms, which are considered Supplementary Terms. Capitalized terms not defined in these Terms will have the meanings stated in the Agreement. By agreeing to these Terms, you represent to us that you have the authority to do so.
A. Program
1. Eligibility
The Program provides the Super Space platform for customers in the following categories: startups, educational institutions, healthcare institutions, MSMEs, and the public sector. You can learn more about the Program on the DiLan Initiatives page ("Initiatives Page"). To join the Program, you must have a valid DiLan account as an Admin and complete the registration process as specified on the Initiatives Page.
2. Promotional Credits
As a participant in the Program, you gain access to promotional credits, including: (a) promotional credits for free use of the Super Space platform for one year, or (b) promotional credits for configuring other Services according to your needs (collectively, "Initiatives Plan"). To qualify for the Initiatives Plan, you must complete the registration form ("DiLan Initiatives Form. DiLan reserves the right to accept or reject the DiLan Initiatives Form at its sole discretion. The Initiatives Plan is solely for your use and cannot be transferred to any end customers.
3. Third-Party Offers
As part of the Program, you may have access to third-party offers such as discounts on software products or other Third-Party Content. If you qualify and choose to participate in third-party offers, you permit us to disclose the information you provide in connection with the Program, including your name, email address, and contact information, to the third-party offering such promotions, in accordance with the DiLan Privacy Policy. The third-party offering or selling the Third-Party Content will act as the official seller for such content. They may set separate terms and conditions and privacy policies for the use of their Third-Party Content. DiLan is not involved in the transactions between you and any third-party offering the Third-Party Content. If there are separate terms for the Third-Party Content, DiLan will not be part of those terms.
4. Program Changes
We reserve the right to change or discontinue the Program or any aspect of it, including these Terms (as set forth in Section C), at any time. This includes changes or discontinuation of any benefits offered under the Program. Unless stated otherwise, any changes to the Program will take effect immediately upon our updating the Initiatives Page with such changes.
5. Program Termination or Suspension
We reserve the right to suspend or terminate your access to the Program, including any part of it, if you violate these Terms, other terms in the Terms and Privacy, or if we determine that your use or access: (a) poses a security risk, (b) could subject us, our affiliates, or any third-party to liability, or (c) could be fraudulent. If your participation in the Program is terminated for any reason: (i) all licenses granted by you or us arising from your participation in the Program will terminate, (ii) you must immediately cease using all Program benefits, and (iii) you must no longer identify or present yourself as a Program participant.
B. Publicity and Marketing
We may list your name, website, and general contact information in a Program directory, on the Initiatives Page, in similar resources, or on our website. You hereby grant us a non-exclusive, worldwide, royalty-free license to use your name, website, general contact information, and any trademark, service mark, trade name, proprietary logo, URL, domain name, or other source or business identifier you provide to us. This license includes other content you provide in connection with the Program (collectively, "Your Materials"). We may use Your Materials in the Program directory, customer lists, commercial presentations, flyers, brochures, newsletters, and similar online or hard-copy resources. We reserve the right to make reasonable changes or modifications to Your Materials. Please note that neither party, including their respective affiliates, acts as an agent of the other or has the authority to bind the other for any purpose.
C. Modification
We may modify these Terms at any time by posting a revised version on the Initiatives Page. The modified Terms will take effect immediately upon posting. By continuing your participation in the Program after the effective date of any modifications to these Terms, you agree to be bound by the modified Terms. It is your responsibility to regularly check the Initiatives Page for modifications to these Terms. If we modify these Terms in a way that is materially adverse to you (as reasonably determined by us), we will provide you with at least 30 days' notice via email or a reasonably equivalent alternative method. Such changes will take effect on the date stated in the notice.
D. Program Overview
1. Purpose and Support Provided
The Program offers an innovative virtual rooms platform called "Super Space," specifically designed to support and enhance communication and collaboration in five critical sectors in Indonesia. These sectors include: developing startups, educational institutions of various levels, healthcare institutions both public and private, MSMEs which are the backbone of the economy, and the public sector serving the broader community. The platform aims to facilitate the exchange of ideas, accelerate innovation, and drive growth in each of these sectors.
2. Program Duration
The Initiatives Plan you receive is valid for a full year, starting from the date you receive the official acceptance confirmation email from our team. During this period, you can fully utilize all the features and benefits provided by the program, including access to the Super Space platform and various other supporting resources.
3. Eligibility Criteria
For complete and detailed information regarding program eligibility requirements, please refer to our Initiatives Page. There you will find a comprehensive list of the criteria that must be met by prospective participants, including but not limited to the types of eligible organizations, company size, and any specific requirements that may apply to each targeted sector.
4. Application Process
To initiate the registration process and become part of this program, you need to complete the DiLan Initiatives Form accurately and thoroughly. This form is designed to gather important information about your organization, participation objectives, and how you plan to use the Super Space platform. Be sure to provide all requested details to help us properly evaluate your application.
5. Participant Rights and Obligations
As a program participant, you are bound by a set of rights and obligations outlined in these Terms. Additionally, you must adhere to other terms specified in our Terms and Privacy. This includes but is not limited to responsible use of the platform, data protection and privacy, and compliance with ethical and behavioral guidelines. We emphasize the importance of understanding and complying with all these terms to ensure a positive and productive experience for all program participants.
6. Update Your Data
If you wish to update the data previously filled out in the DiLan Initiatives Form, please submit a request through the DiLan Initiatives Form (Update Data).
